1. Agreement to These Terms
By accessing or using Kaleidoscope (the "Service"), you agree to be bound by these Terms & Conditions and any additional terms referenced in your licensing agreement, order form, or related documentation with Mevelopment, LLC ("Mevelopment," "we," "us," or "our"). If you do not agree, do not use the Service.
2. Eligibility and Authority
You may use the Service only if you are legally capable of entering into a binding agreement. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
3. License and Permitted Use
Subject to these Terms and any separate commercial agreement, Mevelopment grants you a limited, non-exclusive, non-transferable, revocable license to access and use Kaleidoscope content for internal educational and professional development purposes.
You agree not to:
- sell, sublicense, redistribute, or publicly republish Kaleidoscope content;
- share access tokens outside your authorized scope;
- reverse engineer or attempt to extract source code from the Service;
- remove proprietary notices or branding;
- use the Service in violation of applicable law.
4. Access Credentials and Security
Access may be controlled through licensing tokens or other credentials. You are responsible for maintaining the confidentiality of credentials under your control and for activity occurring through those credentials.
Mevelopment may suspend or revoke access when misuse, unauthorized sharing, security risk, or licensing non-compliance is identified.
5. Intellectual Property
The Service, including all audio, text, visual assets, design elements, and related materials, is owned by Mevelopment or its licensors and is protected by intellectual property laws. Except for the limited license above, no right, title, or interest is transferred to you.
6. Third-Party Services
The Service may rely on third-party infrastructure, analytics, hosting, or content delivery providers. Their systems and policies may apply to portions of service delivery, and availability may be affected by those providers.
7. Disclaimer of Warranties
The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, Mevelopment disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. Kaleidoscope content is educational and informational in nature and is not legal, medical, or financial advice.
8. Limitation of Liability
To the fullest extent permitted by law, Mevelopment and its affiliates, officers, employees, and licensors will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, goodwill, or business interruption arising from or related to the Service.
9. Indemnification
You agree to defend, indemnify, and hold harmless Mevelopment from claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from your misuse of the Service, violation of these Terms, or infringement of third-party rights.
10. Changes, Termination, and Availability
We may update, suspend, or discontinue part of the Service at any time. We may also revise these Terms. Updated Terms become effective when posted with a new effective date. Continued use after updates means you accept the revised Terms.
11. Governing Law
These Terms are governed by applicable United States law and the laws of the jurisdiction where Mevelopment, LLC is organized, without regard to conflict-of-law principles.
